Welcome to Tally: Split & Settle! These Terms govern your use of Tally: Split & Settle (“Tally” or “the App”), operated by Luca Trivisonno, a sole proprietorship carrying on business as Tally Technologies ("we," "us," "our") in Ontario, Canada. By using the App, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using Tally, you confirm that you are at least 4 years old and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the App.

2. Description of Service

Tally is an expense splitting application that allows you to:

  • Create and join groups with friends, family, or roommates

  • Track shared expenses and who paid for what

  • Calculate balances and see who owes whom

  • Record settlements when debts are paid

  • Attach receipt photos to expenses (Premium feature)

  • Receive notifications about group activity

Tally is a tracking and calculation tool only. We do not process, transfer, or hold any actual money. All financial transactions between users occur outside of the App.

3. User Accounts

To use Tally, you must create an account. You agree to:

  • Provide accurate and complete information

  • Keep your login credentials secure and confidential

  • Notify us immediately of any unauthorized account access

  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Acceptable Use

You agree not to use Tally to:

  • Violate any laws or regulations

  • Harass, abuse, or harm other users

  • Upload false, misleading, or fraudulent expense information

  • Attempt to gain unauthorized access to our systems

  • Interfere with or disrupt the App's functionality

  • Use the App for any illegal financial activity

  • Create multiple accounts to circumvent restrictions

  • Scrape, copy, or extract data from the App

5. User Content

You retain ownership of content you upload to Tally (expense descriptions, receipt photos, notes). By uploading content, you grant us a limited license to store, display, and process it as necessary to provide the service.

You are responsible for ensuring you have the right to upload any content and that it does not violate any third-party rights.

6. Premium Subscription

Tally offers optional Premium subscriptions with additional features. By subscribing, you agree to:

  • Pay the subscription fee at the frequency chosen (monthly or annual)

  • Auto-renewal unless cancelled at least 24 hours before the renewal date

  • Manage subscriptions through your Apple App Store or Google Play account

Subscription payments are processed by Apple or Google, not by Tally directly. Refund requests must be directed to the respective app store according to their policies.

7. Free Tier Limitations

Free accounts are limited to 2 groups and do not include receipt photo attachments. These limitations may change at our discretion. We will notify users of significant changes.

8. Accuracy of Information

Tally calculates balances based on the expense information users enter. We do not verify the accuracy of expenses or settlements. Users are responsible for:

  • Entering accurate expense amounts and descriptions

  • Verifying balances with group members

  • Resolving disputes about expenses directly with other users

Tally is not responsible for errors in user-entered data or disputes between users about expenses or payments.

9. No Financial Advice

Tally is a tracking tool and does not provide financial, legal, or tax advice. The App's calculations and analytics are for informational purposes only. Consult appropriate professionals for financial decisions.

10. Intellectual Property

The Tally App, including its design, features, code, and branding, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

11. Third-Party Services

Tally integrates with third-party services including:

  • Apple App Store and Google Play for payments

  • Apple and Google for authentication options

  • Cloud services for data storage and delivery

Your use of these services is subject to their respective terms and policies. We are not responsible for third-party service availability or functionality.

12. Disclaimer of Warranties

Tally is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that:

  • The App will be uninterrupted or error-free

  • Defects will be corrected

  • The App is free of viruses or harmful components

  • Calculations will be 100% accurate in all circumstances

13. Limitation of Liability

To the maximum extent permitted by law, Tally and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or data

  • Financial disputes between users

  • Errors in expense calculations

  • Service interruptions or downtime

  • Unauthorized access to your account

Our total liability for any claims shall not exceed the amount you paid for the App in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Tally, its operators, and affiliates from any claims, damages, or expenses arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

15. Account Termination

You may delete your account at any time through Account settings. We may suspend or terminate your account if you violate these Terms. Upon termination:

  • Your access to the App will be revoked

  • Your data will be deleted according to our Privacy Policy

  • Active subscriptions should be cancelled separately through your app store

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through the App or via email. Continued use after changes constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of Canada. Any disputes shall be resolved in the courts of Ontario, Canada, unless prohibited by local law.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
